1. Acceptance of Terms and B2B Applicability

Welcome to the Cloud Repatriation Analyzer ("CRA"), a software application developed and operated by Yellowstone Labs ("we," "our," or "us"). By creating an account, connecting your cloud infrastructure, or purchasing a report through cra.yellowstonelabs.io, you agree to these Terms of Service. CRA is a Business-to-Business (B2B) tool. By using CRA, you represent and warrant that you are authorized to bind your company or organization to these Terms.

2. Description of Service

CRA is an automated analysis tool designed to review cloud infrastructure (e.g., AWS, GCP, Azure, DigitalOcean) and generate reports estimating potential cost savings, migration plans, and server recommendations for transitioning to bare metal environments. CRA also identifies potentially idle or underutilized cloud resources.

3. Cloud Credentials and User Responsibilities

To perform an analysis, you must provide API keys or access tokens for your cloud provider accounts.

• Read-Only Requirement: You agree to provide credentials with strictly read-only permissions. We use these credentials solely to read infrastructure metadata, resource configurations, and costs.
• Security: While Yellowstone Labs utilizes industry-standard AES-256-GCM encryption to secure your credentials at rest, you are solely responsible for maintaining the security of your CRA account password and managing the lifecycle (including revocation) of the API keys you generate for our tool.

4. Fees, Payments, and No-Refund Policy

CRA operates on a pay-per-use model. You agree to pay the stated flat fee (currently $249) per cloud account analyzed, plus applicable tax.

• Payments: Payments are processed securely via our third-party payment processor, Stripe. By providing payment information, you authorize Stripe to charge your card for the total amount due.
• No Refunds: Because the generation of an analysis report utilizes proprietary algorithms and incurs immediate compute costs on our end, all payments are final and non-refundable once the analysis process has begun or a report has been generated.

5. Estimates, Quote Expirations, and Complex Infrastructure

The reports generated by CRA, including but not limited to Monthly Savings, Total Cost of Ownership (TCO), and Payback Periods, are estimates based on current market rates. They do not constitute a financial guarantee.

• Quote Validity: Any "One-Time Migration Cost" estimates provided within a CRA report for Yellowstone Labs' migration services are valid for 30 days from the report generation date. Pricing may be revised after this period.
• Complex Infrastructure: For environments deemed highly complex by our system, CRA may not provide an automated migration cost estimate. In these instances, you must contact Yellowstone Labs directly for a custom Statement of Work (SOW) and personalized quote.

6. Idle Resources Action Disclaimer

CRA includes a free feature that automatically flags potentially "Idle Resources" (e.g., Ghost Storage, Idle Compute, Zombie Services) based on historical usage metrics.

• No Automatic Deletion: CRA does not modify or delete your resources.
• User Liability: You are solely responsible for reviewing and verifying the status of any flagged resource before terminating it in your cloud provider's console. Yellowstone Labs is not liable for any system downtime, data loss, or business interruption resulting from your decision to delete resources flagged by CRA.

7. Affiliate Disclosures and Referral Commissions

CRA reports include recommendations for bare metal providers (such as Hetzner and OVH). Yellowstone Labs participates in affiliate and referral programs with these and other bare metal providers. We may earn a commission or referral fee if you click on affiliate links within our reports, or if you authorize us to register your business with these providers during a migration engagement.

8. Intellectual Property and License Grant

• Your Data: You retain full ownership of all your cloud infrastructure data, credentials, and business information inputted into CRA.
• Our Intellectual Property: Yellowstone Labs retains all right, title, and interest (including all copyrights, trademarks, and other intellectual property rights) in and to the CRA software, its underlying code, algorithms, UI/UX designs, pricing methodologies, and the format of the generated reports.
• Limited License to Reports: Upon payment of the required fees, Yellowstone Labs grants you a limited, non-exclusive, non-transferable, and revocable license to download, view, and share the generated analysis reports.
  • Permitted Use: You may use these reports strictly for your internal business purposes, which includes sharing them with your employees, executive board, or third-party IT contractors bound by confidentiality, for the purpose of evaluating your infrastructure and making migration decisions.
  • Prohibited Use: You may not (a) modify, alter, or remove any copyright or proprietary notices from the reports; (b) resell, sublicense, or commercially distribute the reports to third parties (e.g., white-labeling); (c) publish the reports publicly; or (d) use the methodologies, formatting, or data structures within the reports to reverse-engineer or develop a competing software tool or service.

9. Disclaimer of Warranties

CRA is provided on an "as-is" and "as-available" basis. Yellowstone Labs disclaims all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the CRA platform will be entirely uninterrupted, error-free, or that the cost-saving projections will precisely match your future cloud or bare metal billing statements.

10. Limitation of Liability

To the maximum extent permitted by law, Yellowstone Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption, arising out of your use of CRA. In no event shall Yellowstone Labs' total liability to you for all claims arising out of or relating to your use of CRA exceed the total amount you paid to us for the specific report(s) giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Yellowstone Labs, its officers, employees, and agents from any claims, damages, or legal fees arising from your breach of these Terms, your failure to provide strictly read-only API credentials, or your actions taken based on the CRA reports (including the deletion of active resources).

12. Termination

You may terminate your account at any time through your account settings. Yellowstone Labs reserves the right to suspend or terminate your access to CRA at any time, with or without notice, if we believe you have violated these Terms or pose a security risk to the platform.

13. Governing Law

These Terms shall be governed by the laws of the State of California. Any legal disputes arising from these Terms or your use of CRA shall be resolved exclusively in the state or federal courts located within the County of Los Angeles, California.
